TERRACOTTA DEVELOPMENT SUPPORT AGREEMENT

DEFINITIONS

"Contact" shall mean the individual designated by Customer who is authorized to contact Terracotta for Development Support requests and receive Development Support from Terracotta.

"Customer" shall mean the entity or individual entering into this Development Support Agreement with Terracotta.

"Development Support" shall consist of technical support provided by any means of communication to Contact (not directly to end users or other third parties) with regard to the development, integration, configuration, installation, set-up, or tuning of the then-current version of Terracotta's open source software.

"Terracotta" shall mean Terracotta, Inc., a Delaware corporation having its principal place of business at 650 Townsend Street, suite 325; San Francisco, California 94103.

TERMS & CONDITIONS

Terracotta shall provide Development Support to Customer, via the designated Contact.  Terracotta shall not be obligated to provide on-site Development Support to Customer.

Terracotta shall be available for English-only telephone and/or e-mail contact Monday through Friday, 9:00 a.m. to 5:00 p.m. local time (Pacific Time) at Terracotta's corporate headquarters, exclusive of Terracotta's holidays.  Terracotta shall make commercially reasonable efforts to provide an initial response to all properly-submitted support requests within 8 business hours.  The services specified herein do not include onsite training, programming, creating new documentation, or encoding content.

Customer agrees that when requesting Development Support, it shall follow the following procedures: (i) Customer shall submit the support request via e-mail to developersupport@terracottatech.com or via telephone to (415) 738-4000 and provide a detailed technical report; (ii) the technical report should include a brief synopsis of the problem, reproduction steps, a description of the equipment and operating environment used and if possible any configuration files and error logs.

The term of this Agreement is four (4) weeks from Terracotta's receipt of Customer's payment of the Development Support fee.  Terracotta may terminate this Agreement if Customer fails to pay the Development Support fee or otherwise breaches this Agreement.

Customer shall pay Terracotta a total of $495 (USD, which shall include applicable tax, if any) for the Development Support services, via online payment through Terracotta's website.  All fees paid shall be non-cancelable and non-refundable.

Terracotta provides Development Support "as is" and disclaims all warranties, either expressed or implied.  Terracotta shall not be liable to Customer or any other person under any legal theory for any indirect, special, incidental, or consequential damages of any character arising out of Terracotta's provision of the Development Support hereunder, including but not limited to damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses, even if Terracotta has been informed of the possibility of such damages, or for any claim by any other party.  Further, in no event shall Terracotta's aggregate liability under any provision of this Agreement exceed the Development Support fee paid by Customer hereunder.

Any notices and demands made to Terracotta under this Agreement shall be in writing and shall be delivered by personal service, express courier, or mail to the following address: Terracotta, Inc. - LEGAL / 650 Townsend Street, suite 325 / San Francisco, California 94103 / USA.

Customer may not assign, transfer, encumber or otherwise dispose of this Agreement without the prior written approval of Terracotta.  Any attempt to do so in violation of this provision will constitute a material breach of the Agreement.  Except as otherwise provided, this Agreement will be binding upon and inure to the benefit of the parties' successors and lawful assigns.

Any information related to Terracotta's intellectual property rights transmitted to Customer in the provision of services under this Agreement is and remains the property of Terracotta.  Customer does not receive any right or license under any patents, copyrights, trade secrets, or other such rights of Terracotta.

This Agreement constitutes the final agreement between the parties, and supersedes and cancels all prior negotiations, understandings, correspondence and agreements, oral and written, expressed or implied, between the parties relating to the subject matter hereof.  No waiver, amendment or modification of any provision of this Agreement shall be effective unless it is a document that expressly refers to this Agreement and is signed by both parties.  This Agreement shall be governed by the laws of the state of California.
